Post-termination restrictions, or restrictive covenants as they are often known, need to be carefully drafted to reduce the risk of a court finding them to be unlawful restraints of trade and therefore unenforceable.
Restrictive covenants tend to fall into one of three categories. They are intended to prevent ex-employees from:
- competing with the employer;
- soliciting the employer’s customers;
- poaching its staff.
